These Terms & Conditions (“Terms”) govern your access to and use of the website located at seloxapharma.com (the “Site”) and the purchase of any products from Seloxa Pharma (“Seloxa,” “we,” “us,” or “our”). By accessing the Site, creating an account, or placing an order, you agree to be bound by these Terms, our Privacy Policy, our Research Use Disclaimer, our Shipping Policy, and our Refund Policy, all of which are incorporated into these Terms by reference. If you do not agree to these Terms, you must not use the Site or purchase any products.

1. Eligibility

By using the Site or placing an order, you represent and warrant that:

(a) you are at least nineteen (19) years of age;

(b) you are a qualified researcher, or you are purchasing on behalf of a laboratory, academic institution, or business engaged in lawful scientific research, and you possess the training, knowledge, and facilities required to safely handle, store, and use research chemicals;

(c) you have the legal capacity to enter into a binding contract; and

(d) all information you provide to us is true, accurate, and complete.

We reserve the right to require verification of any of the above at any time, and to refuse or cancel any order where we are not satisfied that these conditions are met.

2. Research Use Only — Conditions of Every Sale

All products sold by Seloxa Pharma are supplied strictly and exclusively as research chemicals for in-vitro laboratory research use only. This is a fundamental condition of every sale. By placing an order, you agree, represent, and warrant that:

(a) the products will be used solely for lawful, in-vitro laboratory research purposes;

(b) the products will never be administered to, introduced into, consumed by, injected into, or applied to any human being or animal, in any form, by any route, direct or indirect;

(c) the products will not be used for any clinical, therapeutic, diagnostic, veterinary, cosmetic, food, agricultural, or household purpose;

(d) the products will not be used in any manner that violates the Food and Drugs Act (Canada), its regulations, or any other applicable law;

(e) the products will be handled, stored, and disposed of only by qualified, trained personnel using appropriate laboratory safety practices; and

(f) you will not resell, transfer, or distribute the products for any purpose inconsistent with these Terms.

Any use of the products contrary to this Section 2 constitutes a material breach of these Terms, is undertaken entirely at your own risk, and is strictly prohibited. Seloxa Pharma does not authorize, condone, or accept responsibility for any misuse of its products.

3. Product Classification

The products sold on this Site are not drugs, medicines, natural health products, foods, cosmetics, dietary supplements, medical devices, or veterinary products. No product sold on this Site has been evaluated, approved, or authorized by Health Canada, and no product has been issued a Drug Identification Number (DIN), Natural Product Number (NPN), or any other market authorization. The products are not intended for use in the diagnosis, treatment, mitigation, or prevention of any disease, disorder, or abnormal physical state, or to restore, correct, or modify any organic function in humans or animals, and must not be represented, marketed, or used as such.

4. No Advice; Informational Content

Nothing on this Site — including product descriptions, specifications, analytical data, certificates of analysis, blog content, or communications from our team — constitutes medical, clinical, veterinary, legal, or professional advice, and nothing on this Site is a recommendation, instruction, or suggestion regarding any use of any product other than in-vitro laboratory research. We do not and will not provide guidance on the administration, application, or use of any product outside of a laboratory research context. All scientific information on the Site is provided for educational and reference purposes only and describes laboratory research contexts exclusively.

5. Orders, Pricing, and Payment

(a) All prices are displayed in Canadian dollars (CAD) and are exclusive of applicable taxes. GST/HST/PST will be calculated and added at checkout based on the shipping destination, as required by law.

(b) An order submitted through the Site is an offer to purchase. No contract is formed until we accept the order by issuing an order confirmation and processing payment. We may decline any order in accordance with Section 6.

(c) We accept payment by credit card (processed by our third-party payment processor) and by Interac e-Transfer. For Interac e-Transfer payments, include only your order number in the message field. Orders paid by Interac e-Transfer are processed once payment is received and confirmed.

(d) We reserve the right to correct pricing errors, including after an order has been placed. If a product’s correct price is higher than the price displayed at the time of your order, we will contact you before shipping and you may cancel for a full refund.

(e) We may impose quantity limits on any order or account.

6. Right to Refuse or Cancel Orders

We reserve the right, in our sole discretion, to limit, refuse, or cancel any order, and to refuse service to any person or account, including without limitation where we believe: (a) the purchaser does not meet the eligibility requirements in Section 1; (b) the products may be intended for any use other than in-vitro laboratory research; (c) the order or account information is inaccurate, fraudulent, or suspicious; or (d) the sale may violate any applicable law. If we cancel an order after payment has been received, we will refund the amount paid for the cancelled order. Refusal or cancellation of an order is our sole obligation and your sole remedy in these circumstances.

7. Shipping and Delivery

Shipping is governed by our Shipping Policy, which forms part of these Terms. We currently ship only to addresses within Canada. You are responsible for providing a complete and accurate shipping address. You are responsible for ensuring that your receipt, possession, and use of the products complies with all laws applicable to you, including any provincial or institutional requirements that apply to your research activities.

8. Returns and Refunds

Returns and refunds are governed by our Refund Policy, which forms part of these Terms. Because of the nature of research chemicals, and to preserve product integrity and chain of custody, products cannot be returned once shipped, except as set out in the Refund Policy or as required by applicable law. Nothing in these Terms or in the Refund Policy limits any rights you may have under the Business Practices and Consumer Protection Act (British Columbia) or other applicable consumer protection legislation that cannot be waived or limited by contract.

9. Product Quality and Documentation

We may provide analytical documentation, including certificates of analysis, describing the identity, purity, and mass of a product batch as determined by third-party analytical testing. Such documentation is provided for research reference purposes only. It is not a representation of fitness for any particular purpose, and it is not a representation that any product is safe or suitable for any use other than in-vitro laboratory research.

10. Assumption of Risk

Research chemicals are, by their nature, materials whose properties are not fully characterized and which may be hazardous if improperly handled. You acknowledge and agree that you assume all risks associated with the receipt, handling, storage, use, and disposal of the products, and that you are solely responsible for ensuring that the products are handled in accordance with appropriate laboratory safety standards and all applicable laws by qualified personnel.

11. Disclaimer of Warranties

Except as expressly stated in these Terms or as required by applicable law that cannot be excluded, the products and the Site are provided “as is” and “as available,” and we disclaim all other warranties, conditions, and representations of any kind, whether express, implied, statutory, or otherwise, including any implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, or non-infringement. We do not warrant that the products are suitable for any purpose other than in-vitro laboratory research.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

(a) the total aggregate liability of Seloxa Pharma, its owners, directors, officers, employees, contractors, and agents, arising out of or in connection with any order, product, or use of the Site, whether in contract, tort (including negligence), statute, or otherwise, shall not exceed the total amount you paid for the order giving rise to the claim; and

(b) in no event shall Seloxa Pharma be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or research, even if advised of the possibility of such damages.

Nothing in this Section excludes or limits any liability that cannot be excluded or limited under applicable law, including under applicable consumer protection legislation.

13. Indemnification

In consideration of the sale of products to you, you agree to indemnify, defend, and hold harmless Seloxa Pharma and its owners, directors, officers, employees, contractors, and agents from and against any and all claims, demands, actions, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms, including any breach of the representations in Sections 1 and 2; (b) your handling, storage, possession, use, misuse, resale, or disposal of any product; or (c) your violation of any applicable law in connection with any product.

14. Prohibited Uses of the Site

You agree not to use the Site: (a) for any unlawful purpose; (b) to submit false or misleading information; (c) to attempt to gain unauthorized access to the Site or its systems; (d) to interfere with the Site’s operation or security; or (e) to scrape, copy, or republish Site content without our written permission.

15. Intellectual Property

The Site and all of its content — including text, product descriptions, images, logos, and design — are the property of Seloxa Pharma or its licensors and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from Site content without our prior written consent.

16. Privacy

Our collection, use, and disclosure of personal information is governed by our Privacy Policy.

17. Changes to These Terms

We may update these Terms from time to time. The version posted on the Site at the time you place an order applies to that order. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

18. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

19. Entire Agreement

These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and Seloxa Pharma regarding the Site and any purchase, and supersede all prior communications and understandings on those subjects.

20. Governing Law and Jurisdiction

These Terms and any dispute arising out of or in connection with them, the Site, or any purchase are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of laws principles. You irrevocably submit to the exclusive jurisdiction of the courts of British Columbia, except where applicable consumer protection legislation grants you the right to bring proceedings in another forum.
